Terms of Service
Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Operator," or "Client") and WellStrives LLC ("WellStrives," "we," "us," or "our") governing your access to and use of the WellStrives platform, including all associated websites, applications, and services (collectively, the "Service").
By accessing or using the Service, you represent that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use of the Service immediately.
1.Description of Service
WellStrives is a client operations platform designed for service-based businesses and independent professionals. The Service includes tools for client management, contract generation, invoice management, deliverable tracking, project communication, business intelligence reporting, and public-facing profile pages.
WellStrives provides two user roles:
- Operators: Service professionals who use the platform to manage client relationships and business operations.
- Clients: End clients of Operators who access the platform through an Operator-issued invitation to review contracts, track project progress, and manage payments.
2.Account Registration and Eligibility
To use the Service, you must:
- Be at least 18 years of age
- Provide accurate, complete, and current registration information
- Maintain the security of your account credentials
- Promptly notify us of any unauthorized access or security breach
You are responsible for all activity that occurs under your account. WellStrives reserves the right to suspend or terminate accounts that provide false information or violate these Terms.
3.Subscription Plans and Billing
3.1Plans
WellStrives offers the following subscription plans:
- Solo Plan: For individual operators managing their own client relationships
- Team Plan: For teams of operators sharing a workspace, with included seats and optional additional seats
Current pricing is available at wellstrives.com/pricing and is subject to change with 30 days notice to active subscribers.
3.2Free Trial
New accounts receive a 7-day free trial. No credit card is required to begin a trial. At the end of the trial period, continued access requires an active paid subscription.
3.3Billing
Subscriptions are billed monthly in advance. Payment is processed securely through Stripe. By providing payment information, you authorize WellStrives to charge your payment method on a recurring basis until you cancel.
3.4Founding Member Pricing
Operators who subscribe during the founding member period lock in their rate for the lifetime of their subscription, provided the subscription remains active and in good standing. Founding member pricing is non-transferable.
3.5Cancellation and Refunds
You may cancel your subscription at any time through your account settings or by contacting support@wellstrives.com. Cancellation takes effect at the end of the current billing period. WellStrives does not provide refunds for partial billing periods.
3.6Failed Payments and Account Suspension
If a payment fails, WellStrives will notify you by email. You will have a 7-day grace period with full access to resolve the payment. After 7 days, your account will enter read-only mode. After 15 days without payment, your account will be suspended. Account data is retained for 38 days from the date of payment failure, after which it will be permanently deleted. WellStrives will provide warning notifications before any data deletion occurs.
4.Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service to engage in fraudulent, deceptive, or illegal activity
- Attempt to gain unauthorized access to any part of the Service or its infrastructure
- Upload or transmit malicious code, viruses, or harmful content
- Harass, threaten, or harm other users of the Service
- Reproduce, duplicate, copy, sell, or resell any portion of the Service without express written permission
- Use the Service to send unsolicited communications or spam
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
5.Contracts and Legal Documents
WellStrives provides tools to generate contract templates based on the information you provide. These templates are provided for convenience and informational purposes only.
WellStrives is not a law firm and does not provide legal advice. Contract templates generated by the Service do not constitute legal advice and should not be relied upon as such. WellStrives makes no representation or warranty that generated contracts are legally enforceable in any jurisdiction.
Operators are solely responsible for ensuring that any contracts executed through the Service comply with applicable laws and are appropriate for their specific business relationships. WellStrives strongly recommends that Operators have contracts reviewed by a qualified attorney.
6.Payment Processing
Payment processing services for Operators are provided by Stripe. By using payment features within the Service, you agree to Stripe's Terms of Service available at stripe.com/legal. WellStrives does not store credit card numbers or sensitive payment information. All payment data is handled directly by Stripe in accordance with PCI-DSS standards.
WellStrives is not responsible for disputes between Operators and their Clients regarding payments, invoices, or services rendered. Such disputes are solely between the Operator and their Client.
7.Intellectual Property
7.1WellStrives Intellectual Property
The Service, including all software, algorithms, methodologies, designs, text, graphics, and the Peak Operations Blueprint™ framework, is the exclusive property of WellStrives LLC and is protected by applicable intellectual property laws. The "WellStrives" name, logo, "Peak Operations Blueprint," and "POB Score" are trademarks of WellStrives LLC.
You are granted a limited, non-exclusive, non-transferable license to use the Service solely for its intended purpose during the term of your subscription.
7.2Your Content
You retain ownership of all content you upload or create through the Service, including client data, project information, documents, and communications ("Your Content"). By using the Service, you grant WellStrives a limited license to store, process, and display Your Content solely as necessary to provide the Service.
WellStrives does not claim ownership of Your Content and will not use it for any purpose other than providing and improving the Service.
8.Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and storage of your data as described in the Privacy Policy.
9.Confidentiality
WellStrives treats all Operator and Client data as confidential. We will not disclose your data to third parties except as necessary to provide the Service, as required by law, or with your explicit consent.
10.Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WELLSTRIVES DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT WARRANT THAT ANY DEFECTS WILL BE CORRECTED OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
11.Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WELLSTRIVES LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL WELLSTRIVES'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT PAID BY YOU TO WELLSTRIVES IN THE TWELVE MONTHS PRECEDING THE CLAIM.
12.Indemnification
You agree to indemnify, defend, and hold harmless WellStrives LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any rights of another person or entity.
13.Termination
WellStrives reserves the right to suspend or terminate your account at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, WellStrives, or third parties, or for any other reason at our sole discretion.
Upon termination, your right to use the Service ceases immediately. Data retention following termination is governed by Section 3.6.
14.Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law provisions.
Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Maryland.
15.Changes to Terms
WellStrives reserves the right to modify these Terms at any time. We will provide notice of material changes by email or through the Service at least 30 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
